The terms that govern your use of Oriqon Spark's website and services.

Acceptance of Terms
By accessing our website or engaging Oriqon Spark for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
These terms govern the relationship between Oriqon Spark Ltd ("we", "us", "our") and you ("client", "you"). Additional terms may apply to specific services and will be documented in a separate Statement of Work or Service Agreement.

The specific scope of services, deliverables, timeline and fees for each engagement will be agreed in a written proposal or Statement of Work signed by both parties.
Payment Terms
Unless otherwise agreed in a signed Statement of Work, our standard payment terms are:
We reserve the right to pause or suspend work on projects with outstanding invoices beyond 30 days until payment is received.
Intellectual Property
Ownership of creative work is transferred to the client upon receipt of full payment. Prior to full payment, all work remains the intellectual property of Oriqon Spark.

Any third-party assets used in our work (stock photography, fonts, plugins) are subject to their own licences. We will inform clients of any licensing requirements that may affect their use of deliverables.
Revisions & Feedback
Each project includes a number of revision rounds as specified in the Statement of Work. Revisions are changes to the approved scope; additional revisions or scope changes may incur additional fees.

Cancellation & Termination
Either party may terminate an engagement with 14 days' written notice. Upon termination:
For retainer agreements, either party may terminate with 30 days' written notice at the end of any billing period.
Limitation of Liability
To the maximum extent permitted by law, Oriqon Spark's liability for any claim arising from our services is limited to the total fees paid by you in the 3 months preceding the event giving rise to the claim.

Governing Law
These Terms of Service are governed by the laws of England and Wales. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We encourage resolution of disputes through direct communication first. If a resolution cannot be reached within 30 days, either party may pursue legal remedies.
